These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and AskBiz Ltd, a company incorporated in England and Wales ("AskBiz", "we", "us", "our"), governing your access to and use of the AskBiz business intelligence platform, including all associated software, APIs, and services (collectively, the "Service").
By creating an account, clicking "I agree", or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
In these Terms, the following definitions apply:
To use the Service, you must register for an Account by providing accurate, complete, and current information. You must update this information promptly if it changes.

You may not share your Account credentials with any third party, create multiple free Accounts to circumvent usage limits, or use automated tools to create Accounts.
We reserve the right to suspend or terminate Accounts that we reasonably believe are being used fraudulently, abusively, or in violation of these Terms.
The Service is available on a free tier and paid Subscription plans as described on our pricing page. Paid Subscriptions are billed monthly or annually in advance. All prices are exclusive of applicable taxes unless stated otherwise.
Payments are processed by Stripe, Inc. By subscribing, you authorise AskBiz to charge your payment method on a recurring basis. You must keep your payment information accurate and up to date.
Where a free trial is offered, it begins on the date you upgrade and ends after the stated trial period. Unless you cancel before the trial ends, your Subscription will automatically commence and your payment method will be charged.
You may cancel your Subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law or at our sole discretion.
We may change Subscription prices with at least 30 days' written notice. Early adopters who have been explicitly guaranteed a locked price will not be subject to price increases for the duration of their continuous Subscription.
If payment fails, we will notify you and attempt to retry. If payment remains outstanding after 7 days, your Account may be downgraded to the free tier. Access to paid features will be restored upon successful payment.
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not:
We reserve the right to investigate suspected violations and, where appropriate, suspend or terminate access, report to law enforcement, and take legal action.
The Service, including all software, algorithms, designs, trademarks, and documentation, is owned by or licensed to AskBiz and is protected by copyright, trade secret, and other intellectual property laws. These Terms do not transfer any AskBiz intellectual property to you.
You retain full ownership of all Business Data you upload or connect to the Service. By using the Service, you grant AskBiz a limited, non-exclusive, royalty-free licence to process your Business Data solely for the purpose of providing the Service to you. This licence terminates when you delete your data or close your Account.
We will never use your Business Data to train AI models, develop competing products, or share with any third party except as described in our Privacy Policy.
Subject to your compliance with these Terms, Outputs generated from your Business Data are yours to use for your internal business purposes. AskBiz does not claim ownership of Outputs. You are responsible for verifying the accuracy of Outputs before acting on them.
If you provide feedback, suggestions, or ideas about the Service, you grant AskBiz an irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Where you use the Service to process personal data of third parties (for example, customer names in your Business Data), you are the data controller for that processing and AskBiz acts as a data processor. In such cases:

Each party agrees to keep the other's Confidential Information confidential using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Each party may disclose Confidential Information only to employees, contractors, or advisers who need to know it and are bound by confidentiality obligations at least as protective as these Terms.
This obligation does not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully known before disclosure; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law, provided the disclosing party is given reasonable prior notice where permitted.
The Service uses artificial intelligence to generate analytical insights and recommendations ("Outputs"). You acknowledge and agree that:
You assume full responsibility for decisions made based on Outputs from the Service.
We aim to provide a reliable service but do not guarantee 100% uptime. We may:
We will not be liable for any loss or damage caused by service unavailability beyond what is required by applicable law.
To the maximum extent permitted by applicable law:
Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by law.
If you are a consumer, you may have statutory rights that these Terms cannot affect. Nothing in these Terms affects your statutory rights.
You agree to indemnify, defend, and hold harmless AskBiz and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
These Terms commence when you create an Account and continue until terminated by either party.
You may terminate your Account at any time by deleting it through Settings or by contacting legal@askbiz.co. Termination does not entitle you to a refund of prepaid fees except as required by law.
We may suspend or terminate your Account immediately if: you materially breach these Terms; your use creates legal risk for AskBiz or other users; you fail to pay fees after a cure period; or we are required to do so by law.
For non-material breaches, we will give you 14 days' written notice and opportunity to remedy the breach before terminating.
Upon termination, your right to access the Service ceases immediately. We will delete your Business Data within 30 days as described in our Privacy Policy. Sections 6, 8, 9, 11, 12, and 15 survive termination.
We may update these Terms from time to time. We will notify you of material changes by email and in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not accept the updated Terms, you must stop using the Service and may cancel your Subscription without penalty within the 14-day notice period.
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

For disputes under £10,000, we encourage resolution through our support team before initiating legal proceedings. Email legal@askbiz.co and we will aim to resolve the matter within 14 business days.
These Terms, together with the Privacy Policy and any Subscription order form, constitute the entire agreement between you and AskBiz regarding the Service and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, pandemic, war, government action, or internet infrastructure failures.
